Case Brief
What Happened
By an order dated May 15, 2026, RBI imposed a monetary penalty of ₹2.70 lakh on Newa Investments Private Limited after a statutory inspection and show-cause proceedings. RBI found that the company violated directions on governance by not obtaining prior written permission before appointing directors, which caused a change in management because more than 30% of its directors, excluding independent directors, changed. The penalty was imposed under section 58G(1)(b) read with section 58B(5)(aa) of the RBI Act, 1934, and RBI clarified that the action is based on regulatory deficiencies and does not affect the validity of the company’s customer transactions or agreements.
